Seller Agreement

By registering as a seller on SALUFA, you agree to be legally bound by this Seller Agreement in its entirety. Please read it carefully before proceeding. If you do not agree with any of the provisions herein, you may not list livestock on the platform.
1. Seller Eligibility
To register and operate as a seller on SALUFA, you must:
- Be 18 years of age or older
- Be a South African resident or a duly registered business entity operating within the Republic of South Africa
- Successfully complete the SALUFA KYC (Know Your Customer) verification process, including submission of a valid government-issued identity document and proof of address
- Own the livestock you list or hold lawful authority to sell it on behalf of the owner
2. Listing Responsibilities
You are solely responsible for the accuracy, completeness, and legal compliance of all content you publish on the platform. All listings must:
- Accurately represent the livestock offered, including breed, age, weight, health status, and identification details
- Include clear, unedited photographs of the actual animals being sold
- Comply with all applicable South African animal health and welfare legislation, including the Animal Diseases Act 35 of 1984
- Not advertise stolen, diseased, or illegally obtained livestock under any circumstances
- Include valid animal identification for cattle (ear tag, ear cut, brand mark, tattoo, or microchip, as applicable)
SALUFA reserves the right to remove any listing at any time, without prior notice, if it is found to violate these standards or any applicable law.
3. Platform Fees and Commission
SALUFA charges a 5% platform fee on all completed sales — applicable to both online (escrow) and cash (in-person) transactions.
Payment Method Tiers: The payment methods available to buyers depend on the total transaction value:
- Up to R 200: Cash on Inspection only — online escrow is not available for small transactions
- R 200 – R 10,000: Buyer's choice — online escrow (recommended) or Cash on Inspection
- Above R 10,000: Online escrow only — for buyer protection, cash is not available for high-value purchases
Online Sales: The 5% SALUFA platform fee is automatically deducted from your payout before funds are released from TradeSafe escrow. The TradeSafe escrow fee is paid by the buyer on top of the listing price and is not deducted from your payout. No manual payment is required.
Cash Sales: The 5% fee is recorded when you confirm the cash sale via your Seller Dashboard. Outstanding fees are deducted from future online payouts. SALUFA reserves the right to revise the fee structure with a minimum of 30 days' written notice to registered sellers.
4. Payments and Payouts
Payouts for online sales are processed automatically following buyer confirmation of receipt — or upon the expiry of the auto-confirmation deadline, whichever occurs first. All payouts are transferred to the bank account registered on the platform by the seller.
Sellers are solely responsible for ensuring that their registered banking details are accurate and current at all times. Amaqhawe SA Technologies (Pty) Ltd (trading as AMQ Digital) and the SALUFA platform accept no liability for failed or misdirected payouts resulting from incorrect banking information provided by the seller.
Banking details are submitted directly to and held exclusively by TradeSafe. SALUFA does not store or have access to your banking credentials.
5. Fee Enforcement and Account Standing
Unpaid platform fees from cash sales are subject to the following escalating enforcement schedule, based on the number of days overdue:
- Days 0–7: Grace period — automated reminders issued; all platform features remain active
- Days 7–14: Cash sale reservations disabled; online payment functionality continues to operate
- Days 14–30: New listing creation disabled; existing active listings remain visible
- Day 30+: Full account suspension until all outstanding fees are settled in full
All restrictions are lifted immediately upon confirmed settlement of all outstanding fees.
6. Seller Conduct and Strike System
Sellers are subject to a progressive strike system for policy violations. The following applies:
- Strike 1: Formal written warning issued — all platform features remain active
- Strike 2: All listings suspended pending administrative review
- Strike 3: Account frozen — no platform activity is permitted; legal referral may follow
Strikes may be issued for, but are not limited to: misrepresentation of livestock, failure to deliver following confirmed payment, repeated buyer disputes, or violations of any platform policy. Cases involving fraud or stock theft will result in immediate account termination and a report to the South African Police Service (SAPS).
7. Dispute Resolution
SALUFA operates an inspection-based dispute policy. Buyers are required to inspect livestock before completing a purchase — for cash transactions, before cash payment is made; for online transactions, at handover before confirming receipt. Condition-based complaints (health, appearance, weight, breed characteristics) are not accepted as valid disputes after payment or receipt confirmation.
Valid dispute categories are limited to "Seller did not deliver livestock" (where payment was made but no handover occurred) and "Other issue" (admin reviews case-by-case). Standard disputes must be submitted within 48 hours of transaction confirmation.
Stolen Livestock Reports: A separate "Report Stolen Livestock" flow is available to buyers at any time, with no time limit. If a buyer reports that livestock was stolen, SALUFA will investigate immediately, may freeze your account pending investigation, and may refer the matter to the South African Police Service (SAPS). Sellers are required to maintain proof of ownership and lawful title for all livestock sold on the platform.
In the event of a dispute, you agree to cooperate fully and in good faith with SALUFA's dispute resolution process. This includes providing evidence, responding to administrative enquiries within reasonable timeframes, and accepting that administrative decisions are binding within the scope of the platform.
Payment Verification & POPIA Consent: Where a dispute involves a claim that payment was not received or was incorrect, SALUFA may request a screenshot or copy of your TradeSafe Payments Summary (or equivalent statement) for the specific transaction in question. By submitting such evidence, you consent to SALUFA processing it solely for the purpose of verifying the disputed payment and resolving the dispute. To protect your privacy under the Protection of Personal Information Act, 2013 (POPIA), you may redact or obscure any unrelated transactions or personal information not relevant to the dispute. SALUFA will store such evidence securely, restrict access to authorised personnel only, and delete it once the dispute is resolved or within a maximum of 90 days, whichever occurs first. This request is made on the lawful bases of your consent and SALUFA's legitimate interests in fraud prevention and fair dispute resolution.
For matters falling outside the platform's jurisdiction, South African law governs and disputes shall be referred to the competent courts of South Africa.
8. Intellectual Property
You retain ownership of all photographs, descriptions, and other content you create and submit to SALUFA. By submitting content, you grant SALUFA a non-exclusive, royalty-free licence to display, store, and promote that content for the purposes of platform operation and SALUFA marketing activities.
You warrant that all content submitted is your original creation or that you hold the legal right to use and distribute it on the platform.
9. Termination
Either party may terminate this Agreement with 7 days' written notice. SALUFA reserves the right to terminate immediately in cases of fraud, illegal activity, or serious policy violations. Upon termination:
- All active listings will be removed from the platform
- Any pending transactions must be completed or lawfully cancelled
- All outstanding platform fees remain due and payable in full
10. Governing Law
This Agreement is governed by and shall be construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of South Africa. By accepting this Agreement, you consent to such jurisdiction.
